PLEASE READ THESE TERMS CAREFULLY. BY SUBMITTING A VALUATION REQUEST, ACCEPTING AN OFFER, BOOKING A COLLECTION, OR SENDING ITEMS TO US, YOU (“THE SELLER”) AGREE TO BE BOUND BY THESE TERMS.

1. INTERPRETATION AND SCOPE

1.1. These Terms apply to the contract between Magazine Trader Ltd and the individual or entity offering items for sale to Us (“Seller”).

1.2. “Goods” means magazines, books, comics, brochures, catalogues, newspapers, annuals, related printed media, and any associated supplements or media items offered for sale by the Seller.

1.3. “Offer Price” means the valuation or purchase price provided by Us to the Seller by email, telephone, message, or any other written communication.

1.4. “Packet/Parcel” means any box, parcel, package, bag, container, or consignment containing Goods sent or intended to be sent to Us.

1.5. “Courier” means any third-party delivery, collection, postal, or logistics provider used to transport the Goods.

1.6. These Terms apply whether the Goods are sent by courier arranged by Us, courier arranged by the Seller, post, drop-off, or any other delivery method.

2. THE OFFER AND CONTRACT

2.1. Valuation: All valuations provided by Us are initial estimates only and are based strictly on the information supplied by the Seller, including title, issue number, quantity, completeness, age, edition, and condition.

2.2. The Seller is responsible for ensuring that all information provided to Us is accurate, complete, and not misleading.

2.3. Validity: An Offer Price is valid for 14 days from the date of issue unless We state otherwise in writing. If the Seller does not book a collection, send the Goods, or otherwise proceed within this period, We reserve the right to withdraw, revise, or cancel the Offer Price.

2.4. No Binding Purchase Until Inspection: A binding contract for purchase is formed only when the Goods have been physically received by Us, inspected by Us, and accepted by Us at Our warehouse.

2.5. We reserve the right to refuse to purchase any Goods for any reasonable reason, including but not limited to poor condition, incorrect description, prohibited content, incomplete items, over-supply, lack of resale value, or suspected unlawful ownership.

3. SELLER WARRANTIES: OWNERSHIP AND RIGHTS

3.1. By submitting Goods to Us, the Seller warrants that:

(a) they are the legal owner of the Goods;

(b) they have full authority to sell the Goods;

(c) the Goods are free from any third-party claims, liens, finance agreements, disputes, or encumbrances;

(d) the Goods are not stolen, counterfeit, unlawfully obtained, or subject to any police, insurance, estate, probate, or ownership dispute;

(e) the sale of the Goods to Us does not breach any law, regulation, agreement, or third-party right.

3.2. We cooperate fully with law enforcement and other relevant authorities. If Goods are suspected to be stolen, counterfeit, unlawfully obtained, or subject to a third-party claim, We may withhold payment, retain the Goods, cancel the transaction, and report the matter to the Police or relevant authority.

3.3. The Seller agrees to indemnify Us against all losses, claims, costs, expenses, damages, and liabilities arising from any breach of this Section.

4. CONDITION AND GRADING STANDARDS

4.1. Unless explicitly agreed otherwise in writing, all Goods must be in “Very Good” resaleable condition.

4.2. “Very Good” resaleable condition means the Goods must be:

(a) Complete: no missing pages, covers, inserts, centre pages, centre-folds, posters, supplements, discs, gifts, or other integral parts where these were expected or quoted;

(b) Clean: no water damage, mould, mildew, damp damage, foxing beyond normal age-related wear, heavy staining, food residue, insect damage, or contamination;

(c) Odour-Free: no strong smells including smoke, damp, mould, pets, mustiness, chemicals, or other unpleasant odours;

(d) Intact: no significant tears, cut-outs, defacing, heavy writing, completed puzzles/crosswords, missing coupons where they affect value, or excessive creasing;

(e) Resaleable: suitable for resale without requiring specialist cleaning, repair, disposal, or separation.

4.3. Normal age-related wear may be acceptable at Our discretion, but heavy damage, damp, mould, missing pages, or unsaleable condition may result in rejection, recycling, or a Revised Offer.

4.4. Supplements and Cover-Mounted Items: If Goods were quoted as complete with discs, DVDs, CDs, posters, toys, cover gifts, stickers, calendars, trading cards, or other supplements, these items must be included. Missing supplements may reduce the Offer Price or result in rejection.

4.5. Adult, Offensive, or Prohibited Material: The Seller must disclose in advance if any Goods contain adult, explicit, offensive, illegal, banned, recalled, or restricted material. We reserve the right to reject, return, recycle, or report any Goods that We reasonably believe are unlawful, unsafe, prohibited, or unsuitable for resale.

4.6. If Goods arrive and do not match the description, quantity, titles, issues, completeness, or condition stated by the Seller, We reserve the right to revise the Offer Price or reject the Goods.

5. SHIPPING, PACKAGING, COLLECTION AND LOGISTICS

5.1. Packaging Responsibility: The Seller is solely responsible for packaging the Goods securely and appropriately for transit.

5.2. Boxes must be strong, secure, and suitable for the weight of the Goods. Double-walled boxes should be used where possible. Boxes must be taped securely and packed so that contents cannot move around during transit.

5.3. We accept no liability for Goods damaged in transit due to inadequate, weak, unsuitable, or insecure packaging.

5.4. Risk During Transit: The Goods remain at the Seller’s risk until they are physically received, unloaded, and accepted by Us at Our warehouse. We are not responsible for any Packet/Parcel that is lost, delayed, damaged, misdelivered, stolen, incorrectly scanned, returned, refused by the courier, or otherwise fails to reach Us while in the possession of a Courier or third-party delivery service.

5.5. Courier Arranged by Us: Where We arrange or assist with a courier collection, We do so as a logistical convenience only. This does not make Us responsible for the Courier’s acts, omissions, delays, losses, damage, failed collections, missed scans, misdeliveries, or handling of the Goods.

5.6. Courier Claims: Any claim for a lost, delayed, or damaged Packet/Parcel is subject to the Courier’s own investigation, terms, conditions, time limits, evidence requirements, and compensation limits. We do not guarantee that any courier claim will be accepted or paid.

5.7. Proof of Collection: The Seller must ensure that the Courier scans the Packet/Parcel upon collection and/or provides a valid receipt. This receipt or scan is the only accepted proof of collection/postage in the event of a lost parcel claim.

5.8. If the Seller cannot provide valid proof of collection/postage, We will not be liable for any alleged loss and no payment will be due for Goods not received by Us.

5.9. No Payment for Unreceived Goods: We will only inspect and pay for Goods actually received by Us. If a Packet/Parcel is lost in transit or does not arrive at Our warehouse, no payment will be due unless and until the Goods are recovered, delivered to Us, inspected, and accepted.

5.10. Failed or Missed Collections: The Seller is responsible for being available for any arranged collection and for ensuring the Goods are ready, packed, labelled, accessible, and suitable for collection. We are not responsible for failed collections caused by the Seller, incorrect information, inaccessible premises, unsuitable packaging, overweight boxes, or Courier failure.

5.11. If a collection fails or needs to be rebooked, We reserve the right to cancel the offer, revise the Offer Price, or deduct any additional courier charges from the final payment.

5.12. Weight Restrictions: No single box may exceed 30kg, or the specific limit stated in Our booking email, courier label, or collection instructions.

5.13. If a box exceeds the permitted weight or size limit, the Courier may refuse collection, return the Packet/Parcel, delay delivery, apply a surcharge, or impose a penalty fee. We reserve the right to deduct any such surcharge, penalty, return fee, or additional courier cost from the Seller’s final payment.

5.14. Hazardous and Unsuitable Items: The Seller must not include hazardous, dangerous, perishable, sharp, fragile, leaking, pressurised, flammable, illegal, or unsuitable items in any Packet/Parcel. This includes but is not limited to batteries, glass, liquids, solvents, chemicals, food, blades, needles, and aerosols.

5.15. If prohibited or hazardous items are included, We may reject the Packet/Parcel, dispose of the items, report the matter where appropriate, and deduct any handling, disposal, cleaning, or courier costs from any payment due.

6. INSPECTION AND REVISED OFFERS

6.1. Inspection Period: We aim to inspect all Goods within 2–5 working days of arrival at Our warehouse. This timeframe is an estimate only and may be extended during busy periods, large consignments, staff absence, courier delays, or where further checks are required.

6.2. We reserve the right to inspect all Goods before accepting them for purchase.

6.3. If, upon inspection, the Goods are found to be:

(a) in worse condition than described;

(b) fewer in number than stated;

(c) incorrect titles, editions, or issues;

(d) missing supplements, discs, posters, gifts, pages, covers, or inserts;

(e) damp, mouldy, odorous, contaminated, damaged, or unsaleable;

(f) mixed with items We did not agree to purchase;

(g) unsuitable, prohibited, or of no resale value;

We may recalculate the value and issue a Revised Offer.

6.4. Seller Options: Upon receiving a Revised Offer, the Seller has 5 working days to reply with one of the following options:

Option A: Accept — We will process payment at the Revised Offer price.

Option B: Reject — We will return the Goods to the Seller, provided the Seller pays the return shipping, administration, and courier fee in advance. The standard return charge is £15.00 per box unless We advise otherwise.

Option C: Recycle/Dispose — If the Goods are deemed valueless, unsaleable, damaged, mouldy, incomplete, or unsuitable for resale, We may recycle or dispose of them free of charge, at Our discretion.

6.5. Failure to Respond: If the Seller does not respond to a Revised Offer within 14 days of the Revised Offer being sent, We reserve the right to process payment at the Revised Offer price, recycle the Goods, dispose of the Goods, or otherwise deal with the Goods at Our discretion.

6.6. Rejected Goods and Return Costs: If the Seller rejects a Revised Offer, the Seller is responsible for all return shipping, packaging, courier, administration, and handling costs. Goods will not be returned until these costs have been paid.

6.7. If return costs are not paid within 14 days of request, We reserve the right to recycle, dispose of, or otherwise deal with the Goods at Our discretion.

6.8. We are not responsible for any loss, damage, delay, or depreciation of Goods returned to the Seller via a Courier.

7. PAYMENT TERMS

7.1. Payments are made by BACS bank transfer or PayPal, as agreed between Us and the Seller.

7.2. Payment is initiated within 48 hours of the Goods passing inspection or the Seller accepting a Revised Offer. This does not include weekends, bank holidays, payment provider delays, or delays caused by incorrect payment details.

7.3. We are not liable for delays, failed payments, or lost funds resulting from incorrect, incomplete, outdated, or fraudulent bank, PayPal, or payment details provided by the Seller.

7.4. Payment will only be made to the person or account details provided by the Seller. The Seller is responsible for ensuring they have authority to receive payment.

7.5. We reserve the right to withhold payment where:

(a) ownership is disputed;

(b) Goods are suspected to be stolen, counterfeit, unlawful, or subject to a third-party claim;

(c) the Seller has provided false or misleading information;

(d) the Goods have not been received by Us;

(e) the Goods have not passed inspection;

(f) We are awaiting the Seller’s response to a Revised Offer;

(g) there are outstanding courier, return, surcharge, disposal, or administration costs.

7.6. Any deductions, including courier surcharges, overweight penalties, return costs, disposal costs, or administration charges, may be deducted from the final payment due to the Seller.

8. LIABILITY AND INDEMNITY

8.1. Our total liability to the Seller in contract, tort, negligence, breach of statutory duty, or otherwise shall be limited to the value of the final agreed purchase price for Goods actually received, inspected, and accepted by Us.

8.2. We are not liable for any Packet/Parcel that is lost, delayed, damaged, misdelivered, stolen, incorrectly scanned, returned, refused, or otherwise fails to reach Us while in transit or in the possession of any Courier or third-party delivery service.

8.3. We are not liable for Goods damaged due to inadequate packaging, overweight boxes, unsuitable containers, prohibited items, or the Seller’s failure to follow Our packing or collection instructions.

8.4. We accept no liability for Acts of God, severe weather, courier strikes, postal disruption, transport disruption, labour disputes, fire, flood, pandemic, technical failure, government action, delays, or any other event outside Our reasonable control.

8.5. The Seller agrees to indemnify Us against all claims, losses, costs, expenses, damages, penalties, and liabilities arising from:

(a) stolen, counterfeit, disputed, or third-party-owned Goods;

(b) false, inaccurate, incomplete, or misleading information provided by the Seller;

(c) hazardous, prohibited, unlawful, or unsuitable items included in a Packet/Parcel;

(d) courier surcharges, penalties, return charges, or disposal costs caused by the Seller;

(e) any breach of these Terms by the Seller.

8.6. Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

9. DATA PROTECTION

9.1. We collect and process personal data, including names, addresses, telephone numbers, email addresses, payment details, and collection/delivery information, solely for the purposes of providing valuations, arranging logistics, fulfilling purchases, making payments, preventing fraud, and complying with legal obligations.

9.2. Personal data may be shared with third-party couriers, payment providers, professional advisers, law enforcement, or other relevant parties where necessary for logistics, payment, fraud prevention, legal compliance, or dispute resolution.

9.3. The Seller is responsible for ensuring that any personal data supplied to Us is accurate and up to date.

9.4. We will retain personal data only for as long as reasonably necessary for business, legal, accounting, fraud prevention, and record-keeping purposes.

10. UNCLAIMED, REJECTED, OR ABANDONED GOODS

10.1. Goods may be treated as abandoned where:

(a) the Seller fails to respond to a Revised Offer within the stated timeframe;

(b) the Seller rejects a Revised Offer but does not pay return costs;

(c) the Seller fails to provide payment details;

(d) the Seller fails to communicate with Us for more than 14 days after We request a response;

(e) the Goods are valueless, unsaleable, mouldy, hazardous, contaminated, or unsuitable for return.

10.2. Where Goods are treated as abandoned, We reserve the right to recycle, dispose of, donate, sell, or otherwise deal with the Goods at Our discretion.

10.3. No further payment or compensation will be due to the Seller for abandoned, recycled, disposed of, or valueless Goods.

11. COMMUNICATIONS

11.1. We may contact the Seller by email, telephone, text message, WhatsApp, post, or any other contact method provided by the Seller.

11.2. Notices, Revised Offers, payment requests, return cost requests, and other important communications will be deemed received when sent to the contact details provided by the Seller.

11.3. The Seller is responsible for checking their messages, email inbox, spam/junk folder, voicemail, and any communication channels used during the transaction.

12. GOVERNING LAW

12.1. These Terms are governed by the laws of England and Wales.

12.2. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

13. GENERAL

13.1. If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions shall continue in full force and effect.

13.2. No delay or failure by Us to enforce any part of these Terms shall prevent Us from enforcing it later.

13.3. We reserve the right to update these Terms from time to time. The Terms in force at the time the Seller submits a valuation request, accepts an offer, books a collection, or sends Goods to Us shall apply to that transaction.

13.4. These Terms constitute the entire agreement between Us and the Seller in relation to the purchase of the Goods, unless otherwise agreed in writing by Us.
